Board of Directors:

The business and affairs of the Corporation shall be managed by its Board of Directors. The Board of Directors shall have and exercise all powers necessary or convenient to carry out any and all purposes for which the Corporation was organized, such as, without limitation, the power to contract, to purchase, convey or mortgage real or personal property, and to borrow or lend money.

The Board of Directors may vary in number as long as there are equal numbers of rural and urban plus secondary referral center directors not to exceed six each. Since HPRHN is a multi-state organization, the rural members from each state will elect a director from that state. If urban plus secondary referral center members number more than six, they will vote among themselves for directors not to exceed six.

In the past it has been agreed that a facility should be a member of HPRHN for at least one year before serving on the Board. It has also been agreed that a representative should serve on the Board for at least one year before becoming an officer of the Board.

The term of each director shall be two years to be staggered with other same class directors to provide continuity in leadership.

            Michelle Joy - Sterling Regional MedCenter, Colorado
            John Gardner - Yuma District Hospital, Colorado
            Jim Parks - Box Butte General Hospital, Nebraska

Meetings:

The BOD meets quarterly in January, April, July, and October; with one of those meetings being the full membership meeting.

Executive Committee:

The Executive Committee shall be comprised of the officers of the Corporation elected by the Board of Directors at the annual meeting of the Board of Directors. The officers of the Corporation shall be a Chairman, Vice Chairman, and Secretary/Treasurer. Each office shall be held by different persons.

Meetings:

Because our Officers of the Board and our Board of Directors are basically the same people, the meetings are the same as the quarterly board meetings. If a need arises for the Executive Committee to meet for a specific reason, a special meeting will be scheduled.
